Governing Law and Jurisdiction
This Agreement, along with any disputes or claims arising from it, shall be governed by the laws of Western Australia, Australia. Both parties agree to submit to the exclusive jurisdiction of the courts of that State.
Website Design and Development
Client Responsibilities and Materials
The client is required to provide all necessary content, such as text, images, logos, and other relevant materials, prior to the commencement of the project. This content must be delivered electronically via email, Dropbox, or Google Drive.
- Full Content Submission: All required materials must be supplied in their entirety before work begins. Partial submissions are acceptable initially, but work will not officially start until all materials have been received.
- Delays and Deadlines: If there are delays in providing these materials, the project’s timeline will be affected. Lilo reserves the right to adjust agreed deadlines accordingly.
- Hold and Cancellation Policy: If materials are not provided within one month of the project’s start date, the project may be put on hold. If the delay extends to two months, Lilo reserves the right to cancel the project and charge cancellation fees.
- Incomplete Submissions: Any delays caused by incomplete submissions may lead to partial invoicing for completed work.
Scope Adjustments and Change Requests
Modifications outside the agreed-upon scope, as outlined in the quotation or signed-off documentation, will incur additional charges.
- Revisions and Feedback: Once a design concept has been approved, Lilo allows for 2-3 minor change requests. Significant changes beyond this limit may incur extra costs.
- Deviation from Scope: Any changes that deviate from the initial scope will be assessed and billed separately on a time-and-materials basis.
- Design Limitations: Lilo reserves the right to limit design revisions to a reasonable amount. Additional requests for redesigns or alterations to approved work will be charged accordingly.
Approval and Acceptance
During the development phase, clients are required to provide feedback within seven calendar days of receiving a request for review.
- Timely Feedback: If feedback is not received within this period, Lilo may proceed with the assumption that the deliverables are accepted as they are.
- Late Changes: Requests for modifications after the feedback window will be billed at Lilo’s standard hourly rates.
Browser Compatibility
Lilo utilizes the latest web technologies to ensure websites function effectively on modern browsers and devices.
- Limitations with Older Browsers: While efforts are made to ensure broad compatibility, older browsers (e.g., Internet Explorer 8, 9, and 10) may not display the website as intended.
Project Timelines
Deadlines provided by Lilo are based on full cooperation and timely submissions from the client and agreed functionality.
Feedback and Contact: Clients must designate a single point of contact to streamline communication and ensure timely responses during the development process.
Support and Warranty
Pre-Launch Review
Lilo will provide clients with access to a staging server to review work during development.
- Approval Process: If no feedback is received within five business days, unless agreed, the work will be deemed approved, and the final handover will occur after payment of the final invoice.
Post-Launch Maintenance
Clients acknowledge that websites require ongoing maintenance to remain secure and functional.
- Optional Maintenance Plans: Lilo offers proactive maintenance plans for WordPress sites at an additional cost.
- Repairs and Updates: Code-related errors reported within 30 days of the launch will be resolved at no charge. Design or content updates will be billed at the standard hourly rate.
- Third-Party Software: Compatibility with plugins, themes, or CMS systems cannot be guaranteed indefinitely.
Payment Terms
Invoices may be issued as follows unless otherwise agreed:
- Fortnightly,
- Monthly, or
- Upon completion of specific project milestones.
- Late Payments: Overdue invoices will incur interest at a rate of 5% above the Cash Rate Target specified by the Reserve Bank of Australia. Clients will also be responsible for all legal and collection fees associated with late payments.
- Default Accounts: Accounts overdue by 30 days may result in the removal of files or designs hosted on Lilo’s servers.
Portfolio Usage Rights
- Lilo retains the right to showcase completed projects in its portfolio, website, or third-party publications, including exhibitions or awards submissions.
Termination of Agreement
Either party may terminate the agreement with seven working days’ written notice.
- Immediate Termination: Lilo reserves the right to terminate the agreement immediately if the client enters bankruptcy, liquidation, or fails to meet their obligations under this agreement.
- Cancellation by Client: If a project is canceled by the client, Lilo will charge for the work completed up to the cancellation date. If this exceeds the initial 30% invoiced, additional fees for extra work will apply.
Search Engine Optimisation Terms – Lilo
Services Overview
Lilo will provide Search Engine Optimisation (SEO) services as outlined in this agreement. Our team will employ targeted keywords and strategies to improve search engine rankings and drive relevant traffic to your website.
The objectives of Lilo’s SEO services are twofold:
- Increased Visibility: Enhance your presence on major search engines.
- Targeted Traffic: Direct high-quality, relevant traffic to your site.
Our SEO strategies comply with the latest search engine guidelines and are tailored to align with your industry’s competitive landscape.
Client Responsibilities
The Client must provide the following to enable optimal results:
- Full access to the backend of their website.
- Permission to implement changes for optimisation.
- Traffic statistics for analytics and monitoring.
- Access to the Client’s assets, such as logos, images, and content, for use in campaigns.
Failure to provide these may result in delays or suboptimal outcomes.
Payment Terms
- Fees: All fees for SEO services are non-refundable and billed in advance on a monthly cycle.
- Invoice Review: Clients are responsible for reviewing fee schedules regularly and will be notified of any changes in writing. In most cases, existing clients retain current pricing for up to 12 months at Lilo’s discretion.
- Late Payments: Unpaid invoices after 30 days will accrue interest at 5% above the Cash Rate Target set by the Reserve Bank of Australia. Clients will also be liable for any legal or collection costs incurred.
Cancellation and Termination
- Client Termination: Clients must provide 30 days’ written notice to terminate services.
- Lilo Termination: Lilo may terminate this agreement with or without cause, at any time, without liability to the Client or third parties.
Acknowledgements and Limitations
Clients agree that SEO results are influenced by external factors, including algorithm updates from search engines. While Lilo follows the best industry practices:
- No guarantees are made regarding ranking positions or outcomes.
- Rankings may fluctuate due to external changes beyond Lilo’s control.
- No refunds or discounts will be issued for ranking declines.
Additional Services
- Services beyond the initial agreement, such as custom blog creation, print campaigns, or additional design work, will be charged at Lilo’s standard hourly rates and quoted separately.
Paid Advertising Management
Lilo offers comprehensive paid advertising campaigns on platforms like Google, Meta, and TikTok.
Key Terms
- Campaign Setup: Campaigns will be optimized for delivering quality traffic to the Client’s website.
- Ad Spend: Costs for clicks or media are charged directly by the respective platforms. The Client authorizes Lilo to provide their credit card details for this purpose.
- Responsibility: Lilo is not liable for erroneous charges by third-party platforms. Any disputes regarding incorrect payments must be resolved directly with the platform.
Billing for Marketing Services
- Fees for marketing services are billed monthly in advance, with adjustments for additional work.
- Changes to content, strategy, or scope will incur extra charges and be billed separately.
Portfolio Rights
Lilo retains the right to display and distribute examples of completed campaigns, designs, and results in its portfolio, on its website, and in external publications or exhibits.
